These Terms of Service (the “Terms”) together with the End User License Agreement (the “EULA”) constitute a legally binding agreement between QwertyZen Pvt. Ltd. (“Company,” “we,” “our,” or “us”) and you (“you,” “your,” or “user”). By accessing our website, downloading our software, or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Scope of Services

  • We provide digital software downloads, currently free of charge and in the future also paid.
  • Our services may expand to include community features such as sharing, collaboration, and user-generated content.
  • Certain premium features, licenses, or add-ons may be introduced later.

2. Eligibility and Accounts

  • You may use our services without creating an account.
  • In the future, account registration may be required, and sign-up will be via Google OAuth or other third-party authentication providers.
  • Minors are permitted to download and use our software, but parental guidance is recommended.
  • We reserve the right to suspend or terminate any account or access at our discretion, particularly in cases of misuse or breach of these Terms.

3. User Conduct and Responsibilities

When using our services, you agree that you will not:

  1. Reverse engineer, decompile, or attempt to derive source code from our proprietary software.
  2. Resell, redistribute, sublicense, or commercially exploit our software without written permission.
  3. Engage in hacking, spamming, or security breaches.
  4. Infringe upon our intellectual property rights or those of third parties.
  5. Misuse services in any way that causes harm to others or to the community.

Rules for Future Community Content

If you post, share, or upload content:

  • You must not post illegal, abusive, defamatory, obscene, or hateful material.
  • You retain ownership of your content, but you grant us a limited license to display and distribute it within our platform.
  • We reserve the right to moderate, remove, or block any content or user for violations.

4. Payments and Refunds

  • Payments, when applicable, are processed securely by third-party providers such as RazorPay. We do not store payment details.
  • Upon successful payment, digital orders will be fulfilled.
  • Refunds:
    • Currently not applicable for free software.
    • For paid software, refunds will be offered within two weeks of purchase, subject to reasonable usage limits.
  • No auto-renewals or subscriptions are in effect at this time.

5. Intellectual Property

  • All software, services, trademarks, and intellectual property are owned by [Company Name].
  • Our software is proprietary, closed-source, and distributed in binary form. Redistribution or resale without permission is strictly prohibited.
  • The software may incorporate open-source dependencies:
    • FluidSynth (LGPL)
    • Python (PSF license)
    • RtMidi (MIT)
  • These dependencies are used in compliance with their respective licenses.

6. End User License Agreement (EULA)

By downloading and using our software, you are granted a limited, non-exclusive, non-transferable license to use the software for personal or internal business purposes.

You may not:

  • Copy, modify, or create derivative works of the software.
  • Rent, lease, or lend the software.
  • Circumvent technical protections or restrictions.

7. Disclaimers and Limitation of Liability

  • Our software and services are provided “as is” and “as available” without warranties of any kind.
  • We disclaim all express, implied, or statutory warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for:
    • Any indirect, incidental, or consequential damages.
    • Loss of data, profits, or business opportunities.
    • Issues arising from third-party services (e.g., RazorPay, Google).
  • Your sole remedy for dissatisfaction is to stop using our services.

👉 This is standard across most commercial software (e.g., Microsoft, Adobe). Providing no warranties is the safest unless you want to guarantee uptime or functionality (which you don’t need to at this stage).

8. Termination

  • We may suspend or terminate access to services at our discretion if users breach these Terms.
  • Users may voluntarily terminate their account at any time.

9. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of India.
  • Any disputes shall be subject to the exclusive jurisdiction of the courts and arbitration tribunals located in India.

10. Changes to Terms

  • We may modify these Terms from time to time as our services evolve.
  • Updates will be posted on this page with a new “Last Updated” date.
  • Significant changes will be announced via a website banner or similar notice.
